Terms of Service

These Terms of Service ("Terms") govern your access to and use of SyncdLabs ("Platform," "we," "us," "our"), operated by TGB Global Systems. By creating an account or using the Platform you agree to these Terms in full. If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use SyncdLabs. By registering you represent that all information you provide is accurate and that you have the legal authority to enter into binding agreements.

2. Platform Role

SyncdLabs is a marketplace that connects content creators with brands. We are not an employer, talent agency, staffing firm, or guarantor of any specific deal volume, earnings, or campaign outcome. We facilitate introductions and provide tools — the deals themselves are between creators and brands.

3. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at legal@syncdlabs.com of any unauthorized access. You may not operate more than one account per role without our written permission.

4. Creator-Specific Terms

• FTC Compliance. All content created under brand collaborations facilitated through SyncdLabs must include clear and conspicuous disclosure of paid partnerships per FTC Endorsement Guidelines and any applicable local advertising law. Failure to disclose is a material breach.
• Accurate Metrics. You may not misrepresent your audience size, demographics, or engagement. Use of bots, purchased followers, or engagement pods is strictly prohibited and grounds for immediate permanent ban.
• No Circumvention. You may not contact brands outside the Platform to close deals originally introduced through SyncdLabs. Circumvention triggers a fee equal to 20% of the off-platform deal value plus account termination.
• Taxes. You are solely responsible for reporting and paying taxes on income earned through the Platform. SyncdLabs will issue a 1099-NEC (or equivalent) for US-based creators earning $600 or more in a calendar year.
• Payouts. Funds are held in escrow upon Brand payment. Payouts are released within 7 business days of confirmed content delivery. Minimum payout threshold: $10.

5. Brand-Specific Terms

• Campaign Accuracy. Campaign Briefs must accurately describe the product, deliverables, compensation, usage rights, and timeline. You may not post campaigns for tobacco, illegal substances, unlicensed gambling, pyramid schemes, or anything requiring creators to make false claims.
• Content Approval. You have 5 business days to approve or request revisions to Creator deliverables. Content auto-approves and payment releases if no response is submitted within that window.
• Usage Rights. Content license scope is as specified in the Campaign Brief. Default is organic social use only. Paid advertising, whitelisting, and extended usage require separate selection and pricing.
• No Circumvention. Same prohibition as creators — brands may not compensate creators outside the Platform for deals initiated through SyncdLabs.
• Indemnification. Brand agrees to indemnify and hold harmless SyncdLabs, its officers, employees, and agents from any claims, damages, or expenses (including legal fees) arising from Brand's campaign direction, product liability, or advertising claims.

6. AI-Assisted Features

SyncdLabs uses artificial intelligence to assist with creator-brand matching, campaign recommendations, and platform features. AI outputs are informational only and do not constitute professional advice. See our AI Disclosure for full details.

7. Prohibited Conduct

You agree not to:

• Use the Platform for any illegal purpose or in violation of any applicable law
• Scrape, crawl, or systematically extract data from the Platform
• Reverse engineer, decompile, or attempt to access source code
• Transmit malware, spam, or unsolicited commercial messages
• Impersonate any person or entity
• Post content that is defamatory, harassing, or violates third-party intellectual property rights

8. Intellectual Property

Creators retain ownership of original content they create. Brands retain ownership of Brand Assets they provide. SyncdLabs retains all rights to the Platform, its design, software, and trademarks. You may not use SyncdLabs' branding without written permission.

9. Payments and Subscriptions

All payments are processed by Whop, a third-party payment processor. By subscribing or making a purchase you also agree to Whop's Terms of Service and Privacy Policy. SyncdLabs subscription plans auto-renew unless cancelled before the renewal date. No refunds for partial billing periods.

SyncdLabs does not guarantee any specific level of earnings, deal volume, or campaign success. Past results of other users are not indicative of future results. See our Earnings Disclaimer for full details.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYNCDLABS' TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM IS LIMITED TO THE GREATER OF (A) THE TOTAL FEES YOU PAID TO SYNCDLABS IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). SYNCDLABS IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

13. Dispute Resolution and Arbitration

Informal Resolution. Before initiating formal proceedings, you agree to contact us at legal@syncdlabs.com and give us 30 days to resolve the dispute informally.

Binding Arbitration. If informal resolution fails, disputes between you and SyncdLabs shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, to the extent applicable, in Delaware. The arbitrator's decision will be final and binding.

Class Action Waiver. YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION AGAINST SYNCDLABS.

Platform Disputes. Disputes between creators and brands (not involving SyncdLabs directly) are handled through the Platform dispute tool. SyncdLabs' mediation decision is final for amounts under $500. Amounts above $500 may proceed to arbitration.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

15. Modifications

We may update these Terms at any time. We will notify you via email or platform notification at least 14 days before material changes take effect. Continued use after the effective date constitutes acceptance.

16. Termination

You may close your account at any time by contacting support. Pending payouts will be processed on the next scheduled payout run. We may suspend or terminate your account immediately for material violations of these Terms, fraudulent activity, or non-payment, and at our discretion with notice for other reasons.
